Terms of Service

1. Acceptance of Terms

By accessing this website or engaging SolVillaTech for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use this website or engage our services.

2. Services

SolVillaTech offers software development services including but not limited to:

  • Full stack web application development
  • Agentic AI system development
  • MVP development
  • Technical consultation and architecture planning

The specific scope, deliverables, timeline, and pricing for any engagement are defined in a separate project agreement or statement of work signed by both parties. These Terms apply in addition to, and do not replace, any such project-specific agreement.

3. Project Agreements and Payment

All project work requires a signed scope document and an upfront deposit before development begins. Specific payment terms, milestones, and refund conditions are outlined in the individual project agreement.

Invoices are due within the timeframe specified in the project agreement. SolVillaTech reserves the right to pause work on overdue accounts.

4. Intellectual Property

Upon receipt of full payment for a project, the client receives full ownership of the custom code and deliverables produced specifically for that project.

SolVillaTech retains ownership of any reusable internal tooling, templates, libraries, or frameworks developed independently of the client engagement. Open source components used in projects are governed by their respective licenses.

SolVillaTech may reference the project in its portfolio unless the client requests confidentiality in writing.

5. Client Responsibilities

The client is responsible for:

  • Providing timely feedback, assets, and content required for the project
  • Ensuring they have rights to any materials provided to SolVillaTech
  • Securing necessary licences for third-party software or content they request be incorporated
  • Reviewing and approving deliverables within the timelines agreed

6. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the engagement. This obligation survives termination of the project for a period of two years. Confidential information does not include information that is publicly available or independently developed without reference to the disclosed information.

7. Limitation of Liability

SolVillaTech's total liability for any claim arising from a project engagement shall not exceed the total fees paid by the client for that specific project.

SolVillaTech is not liable for indirect, incidental, or consequential damages including but not limited to lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

8. Warranties and Disclaimer

SolVillaTech warrants that work delivered will materially conform to the agreed scope. Where a post-launch support period is included in the project agreement, defects reported within that period will be corrected at no additional charge.

This website and its content are provided "as is" without warranty of any kind. We do not warrant that the website will be uninterrupted or error-free.

9. Termination

Either party may terminate a project engagement with written notice as specified in the project agreement. The client is responsible for payment of all work completed up to the termination date. Deposit amounts are non-refundable once development has commenced, unless otherwise agreed in writing.

10. Governing Law

These Terms are governed by applicable law. Any disputes arising from these Terms or a project engagement will be resolved through good-faith negotiation in the first instance. If unresolved, disputes will be subject to binding arbitration or the jurisdiction agreed upon in the individual project agreement.

11. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the website after changes constitutes acceptance of the revised Terms.
